01Acceptance of terms

These Terms of Use ("Terms") govern your access to and use of the XEYAR Ltd. website at xeyar.com and its regional editions (the "Site"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

02Eligibility

The Site is intended for businesses and professional users. By using it, you represent that you are at least the age of majority in your jurisdiction and are able to enter into a binding agreement.

03Use of the website

XEYAR grants you a limited, non-exclusive, non-transferable, revocable license to view the Site for your internal business and evaluation purposes. You agree not to:

• Use the Site in any way that breaches applicable law or these Terms.
• Copy, scrape, republish, or resell Site content except as expressly permitted.
• Interfere with the operation or security of the Site.
• Misrepresent your affiliation with XEYAR or any third party.

04Products, services, and quotes

Product and service information on the Site is provided for general information. It is not an offer to sell and may change without notice. Any purchase of XEYAR products or services is governed by a separate written agreement, such as a quotation, purchase order, or supply agreement, and not by these Terms. If there is a conflict, that written agreement controls for the transaction it covers.

05Intellectual property

The Site and its content, including text, graphics, logos, and software, are owned by or licensed to XEYAR Ltd. and are protected by intellectual property laws. The XEYAR name and logo are marks of XEYAR Ltd. XEYAR technology is the subject of two USPTO provisional applications, both patent-pending: XEYAR Cluster (hardware) and XEYAR Nexus (software). Nothing on the Site grants any license to these marks or intellectual property except as expressly stated.

06Third-party links

The Site may link to third-party websites and services. XEYAR does not control and is not responsible for their content, policies, or practices. Links are provided for convenience only and are not an endorsement.

07Disclaimers

The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. XEYAR does not warrant that the Site will be uninterrupted, error-free, or secure. Product warranties, where they apply, are provided separately in the applicable supply agreement and warranty terms.

08Limitation of liability

To the fullest extent permitted by law, XEYAR Ltd. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of your use of the Site. This does not limit any liability that cannot be excluded under applicable law.

09Indemnification

You agree to indemnify and hold XEYAR Ltd. harmless from claims, losses, and expenses arising out of your misuse of the Site or your breach of these Terms.

10Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we handle personal information.

11Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Ontario, Canada have jurisdiction over disputes arising from the Site. A separate supply agreement may specify its own governing law and dispute-resolution terms for the transaction it covers.

12Changes to these terms

We may update these Terms from time to time. Changes take effect when posted, and we will revise the "Last updated" date above. Your continued use of the Site means you accept the updated Terms.

13Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms, together with the Privacy Policy and any applicable written agreement, are the entire agreement between you and XEYAR regarding the Site.
